Assembled Referral Program Terms and Conditions

Effective May 12, 2025

These Terms and Conditions ("Terms") govern your (“Referrer”) participation in the Assembled Referral Program ("Program"). By submitting a referral or participating in the Program, you agree to be bound by these Terms.

1. Program eligibility

Who is eligible to participate?

• U.S. Residents at least 18 years of age or older
• Current Assembled customers
• Participants must have employer approval to receive rewards (if applicable)

Who is not eligible to participate?

• Assembled employees and contractors
• Partner companies of Assembled and their employees
• Self-referrals (including separate contacts at the same company)
• Individuals prohibited by their employer from receiving rewards

2. Referral requirements

A "Qualified Referral" must meet all of the following criteria:

• Must be submitted through the official Assembled referral form with complete and accurate information
• Referred prospect must not be an existing Assembled customer or employed by a currently registered sales prospect
• Referred prospect must finalize and execute a contract with Assembled within 6 months of the referral submission date

3. Referral rewards

For each Qualified Referral that becomes a paying Assembled customer:

• Referrer will receive 10% of the first-year total contract value, up to a maximum of $10,000 USD
• Payment will be made 90 days after the referred customer signs their Assembled contract provided Referrer provides Assembled with appropriate information for tax purposes

4. Payment process

• Assembled will contact eligible Referrers using the information provided in the referral form
• Referrers must respond to payment communications within 30 days, or the reward will be forfeited
• The method of payment shall be determined by Assembled in its sole discretion
• In the event multiple parties submit the same referral, Assembled reserves the right to determine which party (if any) will receive the reward or whether the award will be split

5. Multiple referrals

• In the event multiple parties submit the same referral, only the first submission will be eligible for the reward
• Referrers may submit multiple unique referrals during the Program period

6. Program duration

This Program runs from May 12, 2025, until terminated by Assembled. Assembled reserves the right to modify or terminate the Program at any time by notice on its website.

7. Modification of terms

Assembled may modify these Terms at any time by posting updated Terms on the Assembled website. Your continued participation in the Program after any such changes constitutes your acceptance of the updated Terms.

8. Compliance with laws

Referrers must comply with all applicable laws, regulations, and industry guidelines. This referral program is void where prohibited by law. Referrers may not publicly solicit potential referrals through social media or other public channels in connection with this Program.

9. Limitation of liability

ASSEMBLED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS PROGRAM, EVEN IF ASSEMBLED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Governing law

These Terms shall be governed by the laws of the State of California without regard to its conflict of law provisions.

By submitting a referral, you acknowledge that you have read, understood, and agree to these Terms.
